Terms for using easiest-mtd.uk and our software

1. About us

PtaSyS co LTD is a company incorporated in England and Wales (Company number 11608971) with its registered office at 47 Hyholmes, Bretton, Peterborough, England, PE3 8LJ. We design and supply:

• Software as a Service (SaaS) solutions delivered via easiest-mtd.uk and related subdomains.
• Desktop and mobile software to help you manage digital records and prepare figures for Making Tax Digital.
• Bridging software for spreadsheets, including Excel and Google Sheets.

We are not currently registered for UK VAT. Any references to prices on our site are therefore exclusive of VAT where applicable.

2. Scope of these terms

These terms apply to your use of:

• our public website at easiest-mtd.uk;
• any SaaS tools, dashboards or online services we make available;
• any desktop or mobile applications we supply or license to you; and
• any related documentation or support materials.

If we enter into a separate written agreement with you (for example, a paid subscription or reseller agreement), that agreement will take precedence over these terms to the extent of any conflict.

3. No tax or accounting advice

Our services are tools to help you keep digital records and prepare values for Making Tax Digital. We do not provide personalised tax, legal or accounting advice and we do not act as your agent in dealing with HMRC unless expressly agreed in writing.

You are responsible for:

• checking that your data is accurate, complete and appropriate for your circumstances;
• submitting information to HMRC or any other authority (unless we specifically agree to do so on your behalf); and
• complying with all laws and regulations that apply to you, including HMRC guidance and deadlines.

You should not rely on any content on our website, documentation or marketing materials as a substitute for professional advice tailored to your situation.

4. Using our SaaS, desktop and mobile software

Subject to these terms, we grant you a non-exclusive, non-transferable licence to use our software to support your own business activities.

You must not:

• reverse engineer, decompile or attempt to access the source code of our software, except where permitted by law;
• resell, redistribute or provide our services to third parties on a commercial basis without our written permission;
• use our services for unlawful, misleading or fraudulent purposes; or
• introduce malware, attempt to gain unauthorised access or otherwise interfere with the security of our systems.

We may apply reasonable technical limits to protect service stability, for example rate limiting or storage limits. Where we offer free or preview access, we may change or withdraw those features at any time.

5. Social media and marketing

We may promote our services using social media platforms and digital advertising, including the use of pixels and similar technologies to measure the effectiveness of our campaigns and reach audiences who may find easiest-mtd.uk helpful.

We do not sell or trade our mailing lists. If we send you marketing emails, each message will include a clear unsubscribe link which you can use at any time. You can also ask to be removed from our marketing lists by contacting office@ptasys.co.

6. Fees and payment

Details of any fees, billing cycles and payment methods for paid plans will be set out on easiest-mtd.uk or in a separate agreement with you. Unless otherwise stated, prices are shown exclusive of any applicable taxes.

You are responsible for any charges imposed by your bank, card issuer or payment provider.

7. Availability and changes to the service

We aim to provide a reliable service, but we cannot guarantee that easiest-mtd.uk or any of our software will be available at all times. We may need to suspend, restrict or modify parts of the service, for example to carry out maintenance, address security concerns or respond to changes in HMRC or other regulatory requirements.

Where practicable, we will give advance notice of major changes that are likely to have a significant impact on your use of the service.

8. Limitation of liability

Nothing in these terms limits or excludes our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot be limited or excluded under English law.

Subject to the above, we will not be liable for:

• any loss of profits, revenue, business, contracts or anticipated savings;
• any loss or corruption of data where you have not kept appropriate backups;
• any indirect, special or consequential loss; or
• any loss arising from your reliance on information produced using our tools without obtaining appropriate professional advice.

Our total liability to you arising out of or in connection with the services (whether in contract, tort, negligence or otherwise) will be limited to the greater of: (a) the amount you have paid to us for the services in the 12 months before the event giving rise to the claim; or (b) £100.

9. Intellectual property

All intellectual property rights in the easiest-mtd.uk website, our SaaS platform, desktop and mobile software, documentation and branding are owned by or licensed to PtaSyS co LTD. You acquire no rights in them other than the limited licence set out in these terms.

You retain all rights in your own data and content that you upload or enter into our tools. You grant us a non-exclusive licence to use that data solely for the purpose of providing and improving the services.

10. Data protection

Our handling of personal data is described in our Privacy policy. By using our services you acknowledge that we will process personal data in accordance with that policy.

11. Termination

You may stop using our services at any time. If you have a paid plan, additional notice requirements or cancellation terms may apply as set out at the point of sign-up.

We may suspend or terminate your access to all or part of the services if:

• you materially breach these terms and do not correct the breach within a reasonable period after we have asked you to do so;
• you use the services in a way that is unlawful, dishonest or poses a security or stability risk; or
• we are required to do so by law, regulation or competent authority.

12. Governing law and jurisdiction

These terms, and any dispute or claim arising out of or in connection with them, are governed by the laws of England and Wales. The courts of England and Wales will have exclusive jurisdiction in relation to any such dispute or claim.

13. Changes to these terms

We may update these terms from time to time, for example to reflect changes in our services, prices or applicable law. The latest version will always be available at easiest-mtd.uk/terms-and-conditions.html.

If a change is material and you have an active paid plan with us, we will take reasonable steps to notify you in advance, for example by email or in-product notification.

If you continue to use the services after changes to these terms take effect, you will be deemed to have accepted the updated terms.
